SAN CLEMENTE, Calif., Jun 06, 2006 (BUSINESS WIRE) -- Metagenics Inc., a privately held company focused on developing and manufacturing science-based nutraceuticals and medical foods, announced today that it has concluded the acquisition of Biodynamics NV, a leading manufacturer and distributor of nutraceuticals to healthcare professionals, pharmacies, health food stores, and veterinarians in the Benelux countries--Belgium, The Netherlands, and Luxembourg ( http://www.biodynamics.be/). Metagenics also acquired Biodynamics' other businesses, including Special Nutritionals Europe (a shipping and logistics company), Dutch distributor Euro-Nutri, and a 28 percent interest in French distributor Bionutrics.
Metagenics enjoyed a close 15-year working relationship with Biodynamics, which served as a distributor of internationally branded Metagenics nutraceuticals sold to healthcare professionals in the European Union (EU). In addition to Metagenics formulas, Biodynamics sells nutraceuticals under four other brand names, including FuncioMed, SportsTech, Extra-Nutri, and AnimaMed. The company also operates a high-quality ISO 9001-certified manufacturing facility and garners additional sales of contract manufacturing and private label for export.
Biodynamics is well positioned to expand its distribution in the professional and pharmacy channels to other EU countries. Biodynamics' current management team, led by co-founder Francis Maes, has agreed to remain with the company, and Metagenics has plans to expand the organization to increase its capacity for growth. Biodynamics has headquarters in Ostend, Belgium, with additional warehouse and office facilities in Eede, The Netherlands.
"We view Biodynamics as the key to development of our business in European Union, a region comprising 25 countries with a population of over 460 million people," said Jeff Katke, chairman and CEO of Metagenics Inc. "The evolving EU regulatory system will increase the opportunities for cross-border sales and shipments of our products throughout Europe." The Biodynamics acquisition builds on a growing direct international presence for Metagenics, which in May 2005 acquired Health World Limited, the Australian and New Zealand leader in research and development of specialized nutritional supplements for healthcare professionals ( http://www.metagenics.com.au/). Health World Limited, with headquarters in Northgate, Queensland, also established its relationship with Metagenics as an international distributor and branding partner for proprietary formulas from Health World Limited's development team of medical professionals that are manufactured in its on-site facility certified for good manufacturing practices (GMP) by the Therapeutic Goods Administration of Australia (TGA).
"Metagenics is already recognized as the leader in the professional sector of our industry in the U.S.," said Katke. "Our expanding direct presence internationally will help us in our mission to improve patient health worldwide through novel approaches to chronic illness."
For sales in Canada, Metagenics established office and warehouse facilities in Mississauga, Ontario in 1998. Other Metagenics international sales efforts are facilitated through a network of distributors specializing in nutraceutical sales to healthcare professionals and pharmacies. Today Metagenics products are also sold in Norway, Ukraine, Russia, Singapore, Thailand, Taiwan, China, Puerto Rico, Brazil, Guatemala, and Mexico.
